By accessing or using the Outhop platform and services (the "Service") provided by Outhop, Inc. ("Outhop," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Outhop provides an AI-powered buying intent platform that helps businesses discover companies showing active buying signals and manage sales pipelines. The Service includes, but is not limited to, lead discovery, intent signal detection, analytics, and integrations with third-party tools.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials.
  • Promptly update your information if it changes.
  • Accept responsibility for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Send unsolicited messages (spam) or violate anti-spam laws such as CAN-SPAM, GDPR, or CASL.
  • Transmit harmful, offensive, or misleading content.

  • Interfere with or disrupt the integrity or performance of the Service.

5. Subscriptions and Payments

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

  • Billing: You will be billed in advance on a recurring basis (monthly or annually) based on your selected plan. Payment is processed through Stripe.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Refunds: Payments are non-refundable except as required by law or at our sole discretion.
  • Price Changes: We may change subscription pricing with at least 30 days' notice. Continued use after the price change constitutes acceptance.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Outhop and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

7. Your Content

You retain ownership of any content you submit, post, or transmit through the Service ("Your Content"). By using the Service, you grant Outhop a non-exclusive, worldwide, royalty-free license to use, process, and store Your Content solely for the purpose of providing and improving the Service.

8. Third-Party Integrations

The Service may integrate with third-party platforms and services. Your use of those integrations is subject to the respective third-party's terms and privacy policies. Outhop is not responsible for the availability, accuracy, or practices of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, Outhop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Outhop and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
